Platform is an online space where Users buy and sell services. Users must register for an account in order to buy or sell services. Platform enables Users to work together online to complete and pay for projects, buy and sell services and to use the services that we provide regarding facilitating connections between Users (“Services”).
If you are accessing or using Platform on behalf of a company or other legal entity (“User Entity”), it is essential that you possess the legal authority to enter into these T&Cs on behalf of the User Entity. In such cases, the terms “you”, “your”, or “User” shall refer to the User Entity that you represent. It is your responsibility to ensure that your representation and actions on behalf of the User Entity are within your legal rights and authority.
If you do not possess such legal authority, or if you do not agree with any part of these T&Cs, you are not permitted to accept these T&Cs, and consequently, you must not access or use Platform. Your continued use of Platform signifies your explicit agreement to these T&Cs and your obligations and rights as User.
It's important to periodically review these T&Cs, as we reserve the right to modify or update them at any time. Such modifications will be effective immediately upon posting the revised terms on Platform, and your continued use of Platform following any such changes indicates your acceptance of the new T&Cs. We will endeavor to notify you of significant changes to T&Cs, but it remains your responsibility to review them regularly to stay informed of any updates.
Your agreement to T&Cs also signifies your understanding that Platform may evolve over time. This might include changes, removal, or addition of features, services, or content. We will strive to improve your experience on Platform, but such changes may occur at our discretion and without prior notice to you.
Finally, by accepting these T&Cs, you acknowledge that the terms of our Privacy Policy are also part of your agreement with Us. Our Privacy Policy explains how we handle and protect your personal data on our Platform and is integral to your use of Services. We encourage you to read and understand our Privacy Policy thoroughly.
By using Platform, you affirm that you are of legal age to enter into these T&Cs. If you are not of legal age, you must have a parent or legal guardian read and agree to these terms on your behalf.
Authorization to access and use Platform and its content. In compliance with T&Cs and their stipulations, Youpalgroup grants you permission to access and use Platform and its content primarily for the purpose of evaluating Youpalgroup and its services. Any linking to the Platform or its content, or any portion thereof, is permitted only as expressly authorized by Youpalgroup.
Ownership and restrictions. All rights, titles, and interests in and to Platform and its content shall remain exclusively with Youpalgroup. You are prohibited from (a) sublicensing, reselling, renting, leasing, transferring, assigning, timesharing, or commercially exploiting Platform and its content, or making them available to any third party, (b) using Platform and its content in any unlawful manner (including, but not limited to, violations of data, privacy, or export control laws) or in any way that disrupts or interferes with the integrity or performance of Platform and its content or their components, and (c) modifying, adapting, or hacking Platform and its content to gain unauthorized access to their restricted areas, related systems, or networks. This includes attempting to circumvent security measures, accessing source code or any other underlying technology, and accessing parts of Platform and its content or any other services of Youpalgroup not made publicly available.
Usage limitations. You are not authorized to copy, modify, frame, repost, publicly perform or display, sell, reproduce, distribute, or create derivative works of Platform and its content. However, you may download, display, and print one copy of publicly available materials (i.e., content that does not require an account name or password to access) on a single computer for your personal, non-commercial use, provided that you do not modify the material and maintain all copyright, trademark, and other proprietary notices. Access to Platform and its content should be solely through the interfaces provided by Youpalgroup. You are prohibited from using any means such as “page-scrape,” “deep-link,” “spider,” or “robot,” or any similar process to access, copy, or monitor any part of Platform or its content or to bypass their navigational structure to obtain information. Youpalgroup reserves the right to take lawful measures to prevent such activities. You must not forge headers or manipulate identifiers to disguise the origin of any message sent to Youpalgroup, nor should you impersonate others or misrepresent your identity.
Responsibility for your data. You are solely responsible for all data, information, and content that you upload, post, or store in connection with Platform.
Reservation of rights. Youpalgroup and its licensors retain all rights in logos, company names, marks, trademarks, copyrights, trade secrets, know-how, patents, and patent applications related to Platform and its content. Youpalgroup grants no implied, estoppel, or other licenses or rights to you under these T&Cs.
Supplementary Agreements for Individual Cooperations
In addition to these T&Cs Users of Youpalgroup's services are required to execute separate agreements including non-disclosure agreements specific to each individual project or collaboration they engage in. These supplementary agreements are drafted to detail the specific terms, conditions, and expectations pertinent to each unique cooperation.
Specificity of Supplementary Agreements: These agreements serve to address the nuances and specific requirements of each individual project or cooperation, thereby providing clarity and precision beyond the general scope of these T&Cs.
Execution Requirement: Before commencing any project or cooperation, Users must review and agree to the terms set forth in the respective supplementary agreement. This agreement, reflecting the specifics of the collaboration, must be duly signed by the User and an authorized representative of Youpalgroup.
Precedence in Case of Discrepancies: In instances where there is a discrepancy or conflict between the general T&Cs and the terms of the specific supplementary agreement, the terms of the supplementary agreement will take precedence. This clause ensures that the more specific terms tailored to the individual project or cooperation are given priority.
Binding Effect: These supplementary agreements, once signed, are legally binding. Users are expected to fully comply with the terms outlined in these agreements, in addition to adhering to the general T&Cs of Platform.
Use of Intellectual Property
Rights in content of User. When you post your information and other content (“User content”) on or through Platform and its content, you grant Youpalgroup a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, modify, reproduce, distribute, display, publish, and perform User content in connection with Platform and its content. Youpalgroup reserves the right, but not the obligation, to monitor Platform and its content, including User content. Youpalgroup may remove or disable any User content at any time for any reason or without any reason at all.
Unsecured transmission of User content. You acknowledge that the operation of Platform, including the transmission of User content, may be unencrypted and involve transmissions to Youpalgroup’s third-party vendors and hosting partners for operation and maintenance. As such, you bear sole responsibility for the security, protection, and backup of your User content. Youpalgroup will not be liable for any unauthorized access, use, corruption, deletion, destruction, or loss of your User content.
Feedback. You are welcome to submit ideas, suggestions, or comments (“Feedback”) regarding Platform and its content, or Youpalgroup’s business, products, or services. By submitting Feedback, you acknowledge that: (a) your Feedback is voluntary and Youpalgroup may use and exploit it without obligation or limitation, (b) you will not seek nor are entitled to any compensation or attribution for your Feedback, regardless of its use by Youpalgroup, and (c) your Feedback does not contain confidential or proprietary information of you or any third party.
Your representations and warranties. You represent and warrant to Youpalgroup that your activities on Platform and Youpalgroup’s use of User content as outlined in these T&Cs do not and will not infringe upon any third party’s copyright, trademark, rights of privacy or publicity, or other personal or proprietary rights. Furthermore, you affirm that your User content does not contain any defamatory, obscene, unlawful, threatening, abusive, tortious, offensive, or harassing material.
Termination of access due to violations. Youpalgroup reserves the right, at its sole discretion and without prior notice, to terminate your access to Platform and its content or block your future access if it is determined that you have violated these T&Cs or other associated agreements or guidelines. Violations by you may cause irreparable harm to Youpalgroup, for which monetary damages would be inadequate. In such cases, you consent to Youpalgroup obtaining any injunctive or equitable relief deemed necessary or appropriate. Additionally, Youpalgroup may terminate your access to Platform for reasons including, but not limited to, requests from law enforcement or other government agencies.
NO WARRANTIES AND DISCLAIMER BY YOUPALGROUP
PLATFORM, INCLUDING ALL SERVER AND NETWORK COMPONENTS, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL ERRORS AND DEFECTS, AND WITHOUT ANY WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND ANY REPRESENTATIONS OR WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. YOU ACKNOWLEDGE THAT WE DO NOT WARRANT THAT YOUR ACCESS TO, OR USE OF, PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM VIRUSES, AND WE DO NOT MAKE ANY WARRANTY REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF PLATFORM. ANY INFORMATION, ADVICE, OR SERVICES OBTAINED BY YOU FROM US OR THROUGH THE PLATFORM DO NOT CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE T&Cs, AND YOU SHOULD NOT RELY ON INFORMATION RECEIVED USING PLATFORM ALONE AS THE BASIS FOR YOUR BUSINESS DECISIONS.
Youpalgroup reserves the right, at any time and without notice, to do any of the following: (1) modify, suspend, or terminate operation of or access to Platform and its content, or any portion of Platform, for any reason; (2) modify or change Platform and its content, or any portion of the Platform, and any applicable policies or terms; and (3) interrupt the operation of Platform and its content, or any portion of the Platform, as necessary to perform routine or non-routine maintenance, error correction, or other changes.
Applicable Law
These T&Cs and any separate agreements whereby Youpalgroup provides you Services shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.
Your use of Platform and any dispute arising out of such use of Platform is subject to the laws of this jurisdiction. By using Platform, you agree that the courts in this jurisdiction will have exclusive jurisdiction over any claim or dispute with Youpalgroup or relating in any way to your account while using Platform.
Miscellaneous
Entire Agreement: These T&Cs, together with any additional terms or policies referenced herein, constitute the entire agreement between you and Youpalgroup regarding Platform and Services, and supersede all prior agreements and understandings, whether written or oral.
Amendment: Youpalgroup reserves the right to amend or modify these T&Cs at any time. Your continued use of Platform and Services following the posting of changes to these T&Cs will constitute your acceptance of such changes.
Severability: If any provision of these T&Cs is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
Waiver: No waiver by Youpalgroup of any term or condition set forth in these T&Cs shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Youpalgroup to assert a right or provision under these T&Cs shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these T&Cs, by operation of law or otherwise, without Youpalgroup's prior written consent. Any attempt by you to assign or transfer these T&Cs, without such consent will be null and of no effect. Youpalgroup may freely assign or transfer these T&Cs without restriction.
Notices: All notices related to these T&Cs shall be in writing and shall be given either by email or postal mail to the appropriate party at the address specified in these T&Cs or at such other address as the party may specify in writing.
Force Majeure: Neither party shall be liable for any failure to perform its obligations under these T&Cs if the failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, riots, or natural disasters.
